Note: All sections apply to all users unless specifically stated otherwise.

1. INTRODUCTION

Welcome to Nimboon ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Nimboon Tech Ltd, a company registered in Nigeria, governing your access to and use of our event management and ticketing platform, including our website, mobile applications, and all related services (collectively, the "Services").

IMPORTANT FOR EVENT ORGANIZERS AND HALL MANAGERS:

If you are an Event Organizer or Hall Manager using Nimboon's services to create events, sell tickets, or manage venue bookings, you are also subject to our Ticket Services Agreement, which governs the specific terms and conditions for using our event management and ticketing services.

The Ticket Services Agreement is incorporated by reference into these Terms and forms an integral part of your agreement with Nimboon when you use our event management services.

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and (if applicable) our Ticket Services Agreement. If you do not agree with these Terms, you must not access or use our Services.

2. DEFINITIONS

"Account"
means the registered user profile created on the Platform.
"Content"
means any text, images, videos, audio, data, or other materials uploaded, posted, or displayed on the Platform.
"Event"
means any gathering, performance, conference, concert, or experience listed on the Platform.
"Event Organizer"
means a user who creates and manages events on the Platform.
"Hall Manager"
means a user who lists and manages venue spaces on the Platform.
"Ticket"
means a digital pass granting entry to an Event, purchased through the Platform.
"Transaction"
means any financial exchange conducted through the Platform, including ticket purchases, hall bookings, and rewards.
"User"
means any individual or entity accessing or using the Services, including but not limited to general users, Event Organizers, and Hall Managers.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Age Requirement

You must be at least 18 years of age to use our Services. By registering an account, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To access certain features of the Platform, you must create an account by providing:

  • Valid email address
  • Full name
  • Phone number
  • Password
  • Additional information as required for your user type (Event Organizer, Hall Manager, or general user)

3.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

3.4 Account Verification

You agree to verify your email address before accessing the full functionality of the Platform. Event Organizers and Hall Managers may be required to provide additional verification documents, including business registration information, National Identification Number (NIN), tax identification details, and bank account information for settlements.

7. PAYMENT TERMS

7.1 Payment Methods

We accept payments through Secure Payment Gateways:

  • Debit/Credit Cards
  • Bank Transfers

7.2 Platform Commission

Nimboon charges a service fee of 4% on all ticket sales and venue bookings.

This fee covers:

  • Payment processing
  • Platform maintenance and support
  • Security and fraud prevention
  • Customer service

The commission is automatically deducted from gross transaction amounts before settlement to Event Organizers and Hall Managers.

7.3 Settlement Terms

For Event Organizers:

  • All ticket sales are settled weekly on Fridays
  • Funds are transferred to your registered bank account
  • Platform commission (4%) is automatically deducted before settlement
  • You must have a verified bank account on file to receive settlements

Weekly Settlement Schedule:

All settlements for Event Organizers and Hall Managers are processed every Friday. This includes all transactions completed on or before the preceding Thursday.

  • β€’ Transactions completed Monday through Thursday: Settled on Friday
  • β€’ Transactions completed Friday through Sunday: Settled on the following Friday
  • β€’ Funds are transferred directly to your registered bank account

For Hall Managers:

  • All booking payments are settled weekly on Fridays
  • Funds are transferred to your registered bank account
  • Platform commission (4%) is automatically deducted before settlement
  • You must have a verified bank account on file to receive settlements

8. REFUNDS AND CANCELLATIONS

IMPORTANT NOTICE: Platform Role

Nimboon Tech Ltd operates as a ticketing platform and facilitator connecting ticket buyers with Event Organizers. We do not organize, produce, or control events.

  • ❌ All ticket sales are FINAL and NON-REFUNDABLE through Nimboon
  • ❌ Nimboon does NOT process refunds for ticket purchases
  • βœ… Refund requests must be directed to the Event Organizer
  • βœ… Event Organizers have sole discretion over refund policies

8.1 Event Organizer Refund Policies

Each Event Organizer may set their own refund policy for their events. These policies may include:

β€’ No refunds under any circumstances

β€’ Refunds only for event cancellation

β€’ Refunds for event postponement

β€’ Partial refunds under conditions

Viewing Refund Policies:

  • β€’ Event Organizers' refund policies will be displayed on the event page
  • β€’ By purchasing a ticket, you agree to the Event Organizer's refund policy
  • β€’ It is your responsibility to review the refund policy before purchase

8.2 How to Request a Refund

If you believe you are eligible for a refund based on the Event Organizer's policy:

  1. Contact the Event Organizer directly using the contact information on the event page
  2. Provide your order details and ticket reference number
  3. State your reason for the refund request
  4. Await the Event Organizer's decision

Nimboon's Role: We may assist in facilitating communication between you and the Event Organizer but do not make refund decisions or process refunds.

8.3 Non-Refundable Platform Fees

IMPORTANT:

Nimboon's 4% service fee is NON-REFUNDABLE in all circumstances, including:

  • ❌ Event cancellation
  • ❌ Event postponement
  • ❌ Event changes
  • ❌ Refunds issued by Event Organizers

Even if an Event Organizer issues a refund for the ticket price, Nimboon's service fee and payment gateway fees are not refundable.

Why Service Fees are Non-Refundable:

  • βœ“ Processing fees have already been incurred
  • βœ“ Platform services have been provided (ticket generation, payment processing)
  • βœ“ Technical infrastructure costs are non-recoverable

8.4 Event Cancellation or Major Changes

If an Event Organizer cancels an event:

  • You must contact the Event Organizer directly for a refund
  • Nimboon will send notifications to affected ticket holders
  • We may assist in facilitating contact with the Event Organizer
  • The Event Organizer is responsible for issuing refunds (if their policy permits)
  • Nimboon's service fee remains non-refundable

If an Event is Postponed or Rescheduled:

  • Your ticket typically remains valid for the new date
  • Check with the Event Organizer regarding their postponement policy
  • Some Event Organizers may offer refunds if you cannot attend the new date
  • Nimboon's service fee remains non-refundable

8.5 What You Should Know Before Purchasing

BEFORE YOU BUY A TICKET:

βœ“ Review the Event Organizer's refund policy carefully

βœ“ Understand that Nimboon does not process refunds

βœ“ Ensure you can attend on the specified date and time

βœ“ Verify event details (venue, date, time, lineup)

βœ“ Accept that the 4% service fee is non-refundable

βœ“ Save your confirmation email and ticket reference

By completing your purchase, you acknowledge:

  • β€’ You have read and agree to the Event Organizer's refund policy
  • β€’ You understand Nimboon does not process refunds
  • β€’ You accept that service fees are non-refundable
  • β€’ All sales are final unless the Event Organizer's policy states otherwise

8.6 Consumer Protection

While Nimboon does not process refunds, we are committed to:

  • Ensuring Event Organizers clearly display their refund policies
  • Monitoring Event Organizer compliance with their stated policies
  • Facilitating communication between buyers and Event Organizers
  • Investigating fraudulent or misleading event listings
  • Suspending Event Organizers who fail to honor their stated policies

Report Issues: If an Event Organizer fails to honor their stated refund policy, contact support@nimboon.com with details.

9. PROHIBITED USES

You agree that you shall not use the Platform in any of the following ways:

  • Use the Platform in any manner that could damage, disable, or overburden our servers or networks, or interfere with any other party's use of the Platform
  • Use the Platform for any illegal, unlawful, or malicious activity, including but not limited to money laundering, fraud, or any activity prohibited under Nigerian law
  • Impersonate any person or entity, or provide fraudulent, misleading, or inaccurate information
  • Post or transmit material for which you have not obtained all necessary licenses or approvals
  • Use the Platform in any manner that constitutes or encourages criminal conduct, gives rise to civil liability, or violates any applicable law
  • Access or attempt to access another user's account without permission, or solicit another user's login credentials
  • Use automated systems, bots, or scripts to access or interact with the Platform without our express written permission

We reserve the right to suspend or terminate your account immediately if we suspect you are engaging in any prohibited activity. We may also take legal action against you for violations of these Terms.

10. COMMUNICATION

By using the Platform, you consent to receive all notifications, notices, statements, communications, updates, and other information from us electronically. This includes emails, in-app notifications, SMS messages, and push notifications. You are responsible for ensuring your contact information is current and that you can receive electronic communications.

You are responsible for any charges, costs, or expenses incurred for receiving communications from us. You may opt out of marketing communications at any time through your account settings, but you cannot opt out of essential service-related communications.

11. USAGE MONITORING AND INTELLECTUAL PROPERTY

11.1 Usage Monitoring

We reserve the right to access, archive, or monitor your use of the Platform in accordance with applicable Nigerian laws. This monitoring helps us ensure service quality, evaluate the Platform, maintain security, and ensure compliance with these Terms. By using the Platform, you accept our right to monitor usage and agree that such monitoring does not entitle you to any cause of action or other right with respect to how we monitor or enforce these Terms.

11.2 Intellectual Property Rights

The Platform is protected by applicable copyrights, trademarks, trade secrets, patents, and other intellectual property laws. All rights are valid and protected in all forms, media, and technologies. You may not copy, distribute, or modify the Platform, including any text, graphics, user interface design, or logos, except as explicitly authorized by us in writing. You must not use any part of the content on the Platform for commercial purposes without obtaining a license from us. Where authorization is granted, our status as the authors of content on the Platform must always be acknowledged.

12. DISPUTE RESOLUTION

12.1 Direct Resolution

We encourage users to resolve disputes directly between buyers and Event Organizers, or between Event Organizers and Hall Managers, through Platform messaging and support features.

12.2 Nimboon Mediation

If direct resolution fails:

  • Contact support@nimboon.com
  • Provide detailed information about the dispute
  • Submit relevant documentation and evidence
  • We will investigate and attempt to mediate

12.3 Arbitration

Binding Arbitration:

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria 2004.

Arbitration Terms:

  • Arbitration shall take place in Ibadan, Nigeria
  • The arbitration shall be conducted in English
  • The decision of the arbitrator(s) shall be final and binding
  • Each party shall bear its own costs unless the arbitrator decides otherwise

12.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

13. LIMITATION OF LIABILITY

13.1 Platform Role

Nimboon acts as an intermediary platform connecting users with Event Organizers and Hall Managers. We are NOT:

  • The event producer or organizer
  • Responsible for event quality or execution
  • Liable for event cancellations or changes (except for processing refunds)
  • Responsible for venue conditions or safety

13.3 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIMBOON SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or data
  • Business interruption
  • Personal injury or property damage (except as required by law)

Maximum Liability: Our total liability for any claim shall not exceed the amount you paid to Nimboon in the 12 months preceding the claim.

14. CONNECTIVITY AND INDEMNIFICATION

14.1 Connectivity

You are responsible for the means you use to access the Platform, including your hardware, software, internet connection, and telecommunications service provider. You understand that these third-party services may not perform as intended or desired. We will not be liable for any loss caused by viruses, malware, or other technologically harmful material that may infect your hardware, computer programs, or other proprietary material due to your use of the Platform or downloading any content from it.

14.2 Indemnification

You agree to indemnify, defend, and hold harmless Nimboon Tech Ltd, its directors, officers, employees, successors, and assigns from and against all actions, proceedings, claims, and demands arising out of or in connection with your use of the Platform, your violation of these Terms, or your violation of any rights of another party. This includes all damages, costs, charges, and expenses (including reasonable legal fees) in respect thereof.

You acknowledge that the Platform is not a secure method of transmitting information, and that the risk of any loss of information or interception of information by any third party will be borne by you. Nimboon shall not be liable for any damages or injuries arising out of or in connection with the use of the Platform or its non-use, including non-availability or failure of performance, loss or corruption of data, loss of or damage to property, work stoppage, or interruption of business.

15. AVAILABILITY OF PLATFORM

While we have invested resources in building and testing the Platform, glitches, slowdowns, and crashes may occur. We may also need to periodically restrict access to some parts of the Platform to perform routine maintenance. We will try to schedule maintenance during off-peak hours when possible.

While it is our intention that the Platform will be available seven days a week except when maintenance is scheduled, you understand that we do not guarantee that you will always be able to access the Platform. We are constantly improving the Services we provide and reserve the right to modify or change any of our Services, temporarily or permanently, with or without prior notice to you.

16. REPRESENTATION, WARRANTIES, AND DISCLAIMERS

16.1 Your Representations and Warranties

You hereby represent and warrant that:

  • You have read and understood these Terms
  • You are at least 18 years of age
  • Your personal information and any other information given to us is true, accurate, authentic, current, and complete
  • You grant to us the right to use your personal information in accordance with these Terms and our Privacy Policy
  • You agree to comply with and be bound by these Terms
  • You shall not assign or transfer your rights under these Terms to anyone else without our approval in writing
  • Your acceptance and use of the Platform does not violate any applicable law in Nigeria or any contract or obligation to which you are a party
  • If you are accepting these Terms on behalf of a company, organization, or other legal entity, you have their consent or authorization to do so

16.2 Disclaimer of Warranties

IMPORTANT:

YOU ACKNOWLEDGE AND AGREE THAT THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE DO NOT GUARANTEE THE ACCURACY, RELIABILITY, COMPLETENESS, OR USEFULNESS OF ANY INFORMATION ON THE PLATFORM. WE DO NOT WARRANT THAT THE PLATFORM WILL MEET YOUR NEEDS OR EXPECTATIONS, OR BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

WE HAVE NO RESPONSIBILITY FOR ANY DAMAGE THAT MAY BE CAUSED TO YOU AS A RESULT OF USING THE PLATFORM. WE ARE NOT A PARTY TO ANY TRANSACTIONS, OTHER RELATIONSHIPS, OR DISPUTES BETWEEN YOU AND EVENT ORGANIZERS, HALL MANAGERS, OR OTHER USERS.

17. ACCOUNT TERMINATION

17.1 Termination by You

You may terminate your account at any time by:

  • Contacting support@nimboon.com
  • Following the account deletion process in your settings

Upon termination:

  • Your access to the Platform will be revoked
  • Your personal data will be deleted within 60 days (except as required for legal compliance)
  • Outstanding financial obligations must be settled
  • You lose access to wallet balance and rewards (unless withdrawn)

18. THIRD PARTY SERVICE PROVIDERS

In order for you to conveniently use the Platform, we may utilize the services of third-party service providers, including payment processors, cloud hosting services, analytics providers, and other technology partners. Please be aware that Nimboon is neither responsible for the services provided by third-party service providers nor are we responsible for the privacy policy or practices of third-party service providers.

IMPORTANT:

Where you do not accept the Terms of Use of a third-party service provider, do not accept these Terms. We will ensure that any change, variation, or amendments to the Terms of Use of third-party service providers is promptly communicated to you.

You agree that these Terms govern only the Platform provided by Nimboon and not any services provided by third-party service providers. You agree that Nimboon's decision to use the services of third-party service providers is not an endorsement of the content or services provided by such third parties. By using the Platform, you agree to use the services of third-party service providers at your own risk.

You agree that we do not control third-party service providers and that there is no agency relationship between us and third-party service providers. We expressly disclaim any responsibility for any service or information provided by third-party service providers, and you agree to hold us free from any liability that may arise from services provided by third-party service providers. Nimboon does not guarantee the accuracy, reliability, completeness, or usefulness of any services provided by third-party service providers.

You agree that any claim, controversy, complaint, or dispute arising out of or in connection with the services of a third-party service provider shall be resolved in accordance with the Terms of Use of such third-party service provider.

19. SEVERABILITY AND MISCELLANEOUS

If any provision of these Terms is deemed unlawful, void, or for any reason unenforceable, the remaining provisions shall be fully enforced, and the remaining provisions shall remain in full force and effect. The failure of a party to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

You shall comply with all laws, rules, and regulations of any governmental authority or agency which govern or apply to the operation and use of the Platform.

Nimboon may assign its rights and obligations under these Terms or any rights hereunder without your consent. The relationship of the parties under these Terms is that of independent contractors, and these Terms will not be construed to imply that either party is the agent, employee, or joint venture of the other.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nimboon regarding your use of the Platform and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.

20. ACKNOWLEDGMENT

BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT:

  1. You have read and understood these Terms
  2. You agree to be bound by these Terms
  3. You meet the age requirement (18 years or older)
  4. You have the authority to enter into this agreement
  5. You understand the refund and cancellation policies
  6. You accept the limitation of liability provisions
  7. You agree to the arbitration and dispute resolution process
