1. Introduction

Welcome to Nimboon ("Platform", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and NimbleTech LTD, a company registered in Nigeria, governing your access to and use of our event management and ticketing platform, including our website, mobile applications, and all related services (collectively, the "Services").

Important for Organizers & Managers

If you are an Event Organizer or Hall Manager using Nimboon's services, you are also subject to our Ticket Services Agreement, which is incorporated by reference into these Terms.

2. Definitions

"Account"

The registered user profile created on the Platform.

"Content"

Any text, images, videos, audio, data, or other materials displayed on the Platform.

"Event"

Any gathering, performance, or experience listed on the Platform.

"Event Organizer"

A user who creates and manages events on the Platform.

"Hall Manager"

A user who lists and manages venue spaces on the Platform.

"Ticket"

A digital pass granting entry to an Event, purchased through the Platform.

"Transaction"

Any financial exchange conducted through the Platform.

"User"

Any individual or entity accessing or using the Services.

3. Eligibility & Registration

3.1 Age Requirement

You must be at least 18 years of age to use our Services. By registering an account, you represent and warrant that you meet this age requirement.

3.2 Account Creation

To access certain features, you must provide a valid email, full name, phone number, and additional information as required for your user type.

3.3 Account Security

You are responsible for maintaining the confidentiality of your credentials and all activities under your account. Notify us immediately of any unauthorized access.

3.4 Account Verification

You agree to verify your email address. Organizers and Managers may be required to provide business registration, NIN, tax details, and bank information for settlements.

7. Payment Terms

Payment Infrastructure

We accept payments through secure gateways including Debit/Credit Cards and Bank Transfers.

Platform Commission

Automatically deducted from gross transaction amounts to cover processing, security, and elite support.

Settlement Protocol

Every Friday

Settlement Schedule

  • Mon - Thu transactions settled same Friday.
  • Fri - Sun transactions settled next Friday.
  • Funds transferred to registered bank account.

8. Refunds & Cancellations

All ticket sales are FINAL and NON-REFUNDABLE through the Platform.

NimbleTech LTD operates as a ticketing facilitator. We do not organize or control events. Refund requests must be directed to the Event Organizer, who maintains sole discretion.

Critical Information

Platform Fees

Nimboon's 4% service fee is non-refundable in all circumstances, including event cancellations or changes, as technical infrastructure costs have already been incurred.

13. Limitation of Liability

To the maximum extent permitted by law, Nimboon shall not be liable for indirect, incidental, or consequential damages, including loss of profits, data, or business interruption.

Maximum Liability

Our total liability for any claim shall not exceed the amount you paid to Nimboon in the 12 months preceding the claim.

14. Connectivity & Indemnity

You are responsible for your hardware and internet connection. You agree to indemnify NimbleTech LTD against all claims arising from your use of the Platform or violation of these Terms.

15. Availability

While we strive for 24/7 availability, we do not guarantee uninterrupted access. We reserve the right to modify or change services with or without prior notice.

16. Disclaimers

"AS IS" AND "AS AVAILABLE" BASIS

We do not guarantee the accuracy or reliability of information on the Platform. We are not a party to transactions or disputes between you and Organizers, Managers, or other users.

17. Account Termination

You may terminate your account via settings or by contacting info@nimboon.com. Data will be purged within 60 days, excluding legal transaction records.

18. Third Parties

We utilize secure third-party providers for payments and hosting. Their terms govern their services; Nimboon is not responsible for their practices.
